Delivery

1. Delivery is ex works, Penlinks stock in Stockholm with already chosen carrier normally DPD. If customer wish to use a certain carrier, printed freight note shall be supplied well within time of the delivery. Time of delivery shall be as from the latest of the following days:
   1. the day of the conclusion of the contract
   2. the day when the seller is notified that a valid delivery date has been granted from factory
   3. the day when the seller receives such payment as is stipulated in the contract to be made before production is initiated.
   4. the day when the seller has received all technical data and instructions needed for the delivery. If the seller find that he cannot meet the contractual time of delivery, or should a delay on his part seem probable, he shall without delay notify the buyer hereof in writing informing him of the reason for the delay and, if possible of the estimate delivery.
2. Should any of the products be damaged on arrival, the transport company must be contacted immediately. Save the package/take picture as proof. Following notification of damage, contact Penlink AB for delivery of new goods. The gods will be ordered in customary way to ensure as fast a delivery as possible
   Price and payment
3. All prices refer to the goods exclusive of packing, freight and VAT. Handling charges are applied on orders less than SEK 500 or EURO 50. This also applies for partial shipments ordered by customer.
4. The seller has the right to compensation for increase of cost on account of changed sales prices charged by the manufacture and on account of price increase for raw materials, taxes, public dues or changed currency rate etc. Where reasonably possible the seller will provide the buyer with notice of such price adjustment.
5. Payment shall be received by Penlink on the date specified in the order at the latest. If the buyer does not pay on due time, the seller shall be entitled to the interest for late payment 9,50% over the current repo rate as from the due date. The buyer shall not be entitled to make any deductions or set-off from such payment.

Warranty etc

1. The seller’s liability is limited to the terms and conditions given by the manufacture of the goods ordered. The individual guarantee conditions for each supplier will be sent on demand. In no event shall each guarantee exceed 12 months from the date of delivery of the goods.
2. A buyer wishing to return a product must always attain the approval of Penlink AB prior to return. The product must be returned with undamaged, original packaging. The return is made at the cost and risk of the customer.
3. Cancellation of orders is only accepted by approval from Penlink AB. Following the approval of cancellation, Penlink AB has the right to debit the customer a cancelation cost of 30% of the total order value.

Governing law

1. Thease conditions and any order to which they apply shall be interpeded and governed in accordance with Swedish law. In addtion to thease conditions contained in IML 2000 , Article Nos: 1-10, 22, 34-36, 40 and 42.
